1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RAIMOND AI (PTY) LTD ("Raimond," "we," "us," or "our"), governing your access to and use of our AI-powered chatbot platform and related services (the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Raimond provides a multi-tenant SaaS platform that enables businesses to create, configure, and deploy AI-powered chatbots for customer communication via WhatsApp and website chat widget. Our Services include:

  • AI chatbot creation and configuration tools
  • WhatsApp Business API integration
  • Automated message processing and response generation
  • Conversation management and analytics
  • Self-service dashboard for bot management
  • Human escalation workflows

3. Account Registration

To use our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Accept responsibility for all activities under your account.
  • Notify us immediately of any unauthorised access or security breach.

You must be at least 18 years old and have the legal authority to bind your organisation to these Terms.

4. Subscription and Payment

4.1 Pricing

Our Services are provided on a subscription basis. Current pricing is:

  • R10,000 per month — includes up to 2 active bots linked to 1 WhatsApp number and website chat widget
  • No setup fees
  • Month-to-month billing, cancel anytime
  • Free sandbox testing before going live

4.2 Payment Terms

  • Payments are due in advance at the beginning of each billing period.
  • All fees are in South African Rand (ZAR) unless otherwise specified.
  • Fees are non-refundable except as required by law or as specified in these Terms.
  • We may change our fees upon 30 days' notice.

4.3 Late Payment

If payment is not received within 7 days of the due date, we may suspend your access to the Services. Continued non-payment may result in account termination.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Send spam, unsolicited messages, or bulk marketing without consent.
  • Harass, abuse, threaten, or defraud users or third parties.
  • Distribute malware, viruses, or harmful code.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Collect or harvest user data without authorisation.
  • Impersonate any person or entity.
  • Violate WhatsApp's Business Messaging Policy or Commerce Policy.
  • Send messages that contain illegal, harmful, or objectionable content.

6. WhatsApp Terms Compliance

Your use of WhatsApp integration through our Services is subject to:

  • Meta's Platform Terms and Policies
  • WhatsApp Business Terms of Service
  • WhatsApp Business Messaging Policy
  • WhatsApp Commerce Policy

You are responsible for ensuring your use of WhatsApp through our platform complies with all applicable Meta and WhatsApp policies. Violations may result in suspension or termination of your WhatsApp access by Meta and/or termination of your Raimond account.

7. Your Content and Data

7.1 Ownership

You retain ownership of all content, data, and configurations you create or upload to our Services ("Your Content"). This includes bot configurations, message templates, and extracted customer data.

7.2 Licence to Raimond

You grant Raimond a limited, non-exclusive licence to use, process, and store Your Content solely for the purpose of providing the Services to you. This includes processing messages through AI systems to generate responses.

7.3 Responsibility

You are solely responsible for Your Content, including ensuring you have the right to use and share it, and that it complies with applicable laws and these Terms.

8. AI-Generated Content

Our Services use artificial intelligence to generate chatbot responses. You acknowledge that:

  • AI-generated responses are based on your configurations and may not always be accurate.
  • You are responsible for reviewing and monitoring your chatbot's behaviour.
  • You should implement human escalation for sensitive or complex enquiries.
  • Raimond is not liable for errors, inaccuracies, or inappropriate responses generated by AI.
  • Message content is processed by OpenAI and subject to their usage policies.

9. Intellectual Property

The Services, including all software, designs, text, graphics, and other content provided by Raimond, are owned by Raimond or our licensors and are protected by intellectual property laws. You may not:

  • Copy, modify, or distribute our Services or content.
  • Reverse engineer, decompile, or disassemble any part of our Services.
  • Remove or alter any proprietary notices or labels.
  • Use our trademarks without prior written consent.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our Services. We may:

  • Perform scheduled maintenance with reasonable advance notice.
  • Experience unplanned downtime due to technical issues or circumstances beyond our control.
  • Modify, suspend, or discontinue features with reasonable notice.

For enterprise customers, specific service level agreements (SLAs) may apply as agreed in writing.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Raimond shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim.
  • We are not liable for any actions taken by Meta, WhatsApp, or other third-party platforms that affect your access to messaging services.

12. Indemnification

You agree to indemnify and hold harmless Raimond, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your Content or the content of messages sent through our Services.

13. Termination

13.1 Termination by You

You may terminate your account at any time. There is no minimum commitment period. Contact us at sales@raimond.biz to request termination.

13.2 Termination by Raimond

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy.
  • Fail to pay fees when due.
  • Engage in fraudulent or illegal activity.
  • Are subject to action by Meta or WhatsApp that prevents service delivery.

13.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your data after 30 days unless legally required to retain it. Sections that by their nature should survive termination will survive.

14. Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be resolved as follows:

  • First, through good-faith negotiation between the parties.
  • If negotiation fails, through mediation administered by an agreed mediator.
  • If mediation fails, through arbitration or litigation in the courts of Johannesburg, South Africa.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Raimond regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights freely.
  • Notices: We may send notices via email to your registered address or through the Services.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
